Partner terms

These are the collaboration terms every partner reads and accepts inside the private workspace before anything starts. Nothing runs in your name before you accept them.

The short version

• I run the work end to end and front the actual costs. You never pay us and do nothing by default; you can check anything anytime.
• Client money is paid to the company. Itemized, documented costs are covered by the company and deducted only from business profit before the split. You never owe these costs.
• From remaining actual profit, you keep 90% and the company fee is 10%. No profit, no fee. A monthly statement shows costs, profit and your monthly payout.
• Accounts in your name require explicit setup consent and authorized use. You can veto anytime. Nothing may go out under your identity against your veto. Optional requests are optional.
• You retain your accounts. Either side can pause or stop anytime. Stopping does not erase earned amounts, documented costs or existing client obligations; I arrange an orderly handoff.
• This is not employment and there is no guaranteed income. I never claim you personally did work you did not do. Identity checks are completed directly with providers, not in this app.

Commercial terms

• Cost cap. Documented costs charged to a project never go above 30% of the money actually collected on that project, unless you approve more in the app. Every cost is itemized in your monthly statement.
• You never pay. If costs are higher than the money collected, the company absorbs the difference. Nothing is deducted from you or from your future unrelated projects.
• Paid on money received. Your share is paid only on money the company has actually received from the client. Money that arrives late goes into the next monthly statement. Nothing is clawed back from you.
• Payout timing. Your monthly statement arrives by the 5th and covers the previous month's collected money. Payout follows within 15 days of the statement. The method for your country is confirmed in onboarding before any first payout.
• Clean exit. Either side can stop anytime, including mid-project. Money already collected for work done is split on the normal terms in the next statement. You can finish unfinished work if you want; otherwise I hand it off cleanly. You never owe anything for stopping.

Liability

(a) HireThomas, Inc. is the contracting party with every client. It alone is responsible to clients for the work, refunds and any claims about it.

(b) You are not liable to clients or to us for the work or its results, except for losses caused by your fraud, or by your deliberately breaking these terms or the law.

(c) You never have to pay us or any client anything, and you give no indemnity.

(d) Our total liability to you is limited to the profit share we owe you under these terms.

(e) Nothing in this section limits liability that the law does not allow to be limited.

Who owns the work

Work we deliver to a client in your name belongs to that client once the client has paid for it. Until payment, it stays with HireThomas, Inc.

Anything you already had before working with us stays yours: your own code, templates, designs, writing, methods, know-how, and your name, photo and profiles. You give HireThomas, Inc. permission (a licence) to use that material for the work done in your name while you are a partner, and that permission ends when you stop. We never claim ownership of it.

Our own internal tools, prompts, systems and processes stay ours, even when they were used to deliver your client work.

Where the rules of your profession say otherwise about your own work papers (for example audit or tax work papers), your professional rules win.

If a client needs something different (for example, they want a licence instead of ownership), it is written in that client's quote and we tell you in the app before the work starts.

Which law applies

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. If we ever disagree, we first try to settle it by talking it through.

Stopping

Partners can press Stop on Home or in Settings at any time. It pauses everything waiting to go out in their name until they press Resume.
